The Customer shall keep the order-identifying data confidential and, if such data is disclosed, bears the risk of the good being handed over to third parties not authorized by the Customer.

3.5. Claims against the Seller arising from the conclusion of the Agreement on the terms of this Offer may not be assigned by the Customer to third parties, except where the Agreement is concluded for the benefit of a third party, if the Seller's Website provides for this, or if the Parties agree on this separately when concluding the Agreement.

3.6. The Seller may engage third parties to perform its obligations under the Agreement concluded on the terms of this Offer, while remaining solely liable to the Customer.

3.7. The Seller's obligations under the Agreement concluded on the terms of this Offer are deemed fully and properly performed:

3.7.1. For the sale of a good: when the Customer receives the good;

3.7.2. For the performance of a work: when the Seller delivers the result of the work to the Customer;

  • •if the Seller uses the accrual method, the Parties agree that the Seller's works or services under the Agreement are deemed provided when the Customer pays for them in full.

3.10. The Seller may decline to issue a receipt to the Customer where the legislation of the Russian Federation permits this.

3.11. The Seller may refuse to sell a good, work or service to the Customer, and may terminate access to the Resource Link, if:

3.11.1. The Seller has not received the Customer's payment of the Fee;

3.11.2. The Seller has received a payment from the Customer that is insufficient to cover the Fee;

3.11.3. The Seller establishes circumstances indicating unauthorized distribution of the Resource Link by the Customer (if the service was provided in this way).

3.12. By concluding the Agreement on the terms of this Offer, the Customer confirms that:

a) the Customer has received complete information about the Seller's goods, works and services that are the subject of the Agreement;

b) the information received is clear to the Customer, and the Customer has no unresolved questions about the content of the goods, works or services, their delivery or performance times, or other terms related to the subject of the Agreement.

3.13. By concluding the Agreement on the terms of this Offer, the Customer agrees that the Customer's subjective assessment is not an objective criterion of the quality of the Seller's goods, works or services and cannot be grounds for deeming them of poor quality, incomplete or inconsistent with the information received before the Agreement was concluded.

3.14. By concluding the Agreement on the terms of this Offer, the Customer confirms that:

a) for Customers that are legal entities: the Customer's representative has all necessary rights, permissions and authority; the Customer has complied with all legal procedures necessary to conclude the Agreement and perform all of its obligations under it; at the time of concluding the Agreement, the Customer is not aware of any third-party rights that could be violated by concluding it; and the Customer is not bankrupt, and no bankruptcy or liquidation proceedings have been initiated against it;

If the Seller has not set age restrictions for Customers on the Seller's Website, and the legislation of the Russian Federation does not prohibit the sale of the Seller's goods, works or services to minors, a Customer who has reached 14 years of age may conclude the Agreement provided the Customer has the consent of a parent or legal representative. At the Seller's request, the Customer shall provide such consent to the Seller.

3.15. By concluding the Agreement on the terms of this Offer, the Customer assumes all risks associated with a material change in the circumstances on which the Customer relied when concluding the Agreement, and agrees that such circumstances cannot be grounds for amending or terminating the Agreement or for the Customer's non-performance of its obligations under it.

3.16. By concluding the Agreement on the terms of this Offer, the Customer consents to the Seller processing the Customer's personal data, including the right to instruct a third party to process personal data. Processing of personal data means any action (operation) or set of actions (operations) performed by the Seller with personal data, with or without the use of automation tools, including collection, recording, systematization, accumulation, storage, clarification (updating, changing), retrieval, use, transfer, including cross-border transfer (provision, access), depersonalization, blocking, deletion and destruction of personal data, including in the Seller's information systems. This consent is given in respect of any data that may become known to the Seller in connection with the performance of its obligations under the Agreement, including (but not limited to) information containing: surname, first name, patronymic, gender, identity document details, migration card details and details of a document confirming a foreign citizen's right to stay (reside) in the Russian Federation; year, month, date and place of birth; citizenship, registration and residential address, phone numbers, marital and property status, education, employment details, income and expense information; and bank account and payment (bank) card details provided by the Customer to the Seller in applications, letters, questionnaires, agreements and other documents.

The Customer also consents to the Seller transferring the Customer's personal data to third parties for the purposes set out in this clause, provided that a duly concluded agreement between the Seller and such third parties obliges them to comply with Federal Law of the Russian Federation No. 152-FZ of 27.07.2006 "On Personal Data".

The Customer's consent to the processing of personal data remains in effect until the purposes of processing are achieved and the contractual relationship between the Customer and the Seller ends. The Customer may withdraw consent personally by sending a written statement containing the Customer's details, the date the consent was given and the grounds for withdrawal. Upon receiving a withdrawal of consent, the Seller stops processing the personal data and destroys it within the period set by Federal Law No. 152-FZ of 27.07.2006 "On Personal Data", except where processing is required by the applicable legislation of the Russian Federation.

5.2. The Customer pays the Fee as a 100% (one hundred percent) prepayment of the Fee determined under clause 5.1 of this Offer, unless a different payment procedure is set out on the Seller's Website or separately agreed by the Parties. Payment of the Fee constitutes acceptance of this Offer.

5.3. The Customer may pay the Fee only by non-cash means:

a) using the Customer's bank card; or

b) using any of the non-cash payment methods available on the Payment Page.

5.4. Prices on the Payment Page are stated in US dollars (USD) unless otherwise indicated. The Customer's bank may charge its own fees or apply its own exchange rate, and such charges are borne by the Customer.

5.5. The Customer's obligation to pay the Fee is deemed fulfilled when the funds are credited to the account of the Seller or of a third party authorized by the Seller to receive the Fee.

5.6. All costs of making payments under the Agreement concluded on the terms of this Offer are borne by the Party making the payment.

5.7. The Seller may at any time unilaterally change the amount of the Fee by changing the information published on the Seller's Website. 5.9. The Seller may send the Customer a certificate of services rendered, works performed, goods delivered, or other documents related to the completion of the sale of goods, works or services. The Customer shall sign such documents within 5 (five) business days of receipt and return a signed copy to the Seller, or within the same period send reasoned objections to signing. If the Customer does not send a signed document or reasoned objections within that period, the document is deemed signed by both Parties.

5.10. Monthly payments. Where the Seller's goods, works or services are provided on a monthly basis (including subscriptions to the Seller's software and monthly services such as sponsored campaign management), each month is paid separately. Before the start of each new period, the Seller sends the Customer a payment link to the Contact Email Address and/or by other agreed means. No automatic charges are made to the Customer's bank card; each payment is made by the Customer. If payment for a new period is not received, the Seller may suspend the provision of the service for that period. The Customer may stop the service at any time simply by not paying for the next period, or by notifying the Seller at itaisd@gmail.com. Amounts paid for a period that has already started are not refunded unless otherwise stated on the Seller's Website or in this Offer. The Seller shall notify the Customer of any change in the monthly Fee at least 7 (seven) calendar days in advance at the Contact Email Address.

VI. Intellectual Property Rights and Their Protection

6.1. By concluding the Agreement on the terms of this Offer, the Customer acknowledges that the results of intellectual activity included in the Seller's goods, works and services, and all trademarks, products, trade names, logos, results of intellectual activity, other protected rights and other materials on the Seller's Website, belonging to the Seller or to third parties, are intellectual property protected under the legislation of the Russian Federation.

6.2. The Customer undertakes not to copy, modify, alter, delete, supplement, publish or transfer such intellectual property of the Seller and/or third parties, create derivative works, manufacture or sell products based on them, or reproduce, display or otherwise use the corresponding rights of third parties without the express permission of their owners or right holders.

6.3. No rights to the results of intellectual activity included in the Seller's goods, works and services (unless otherwise agreed by the Parties), or to any content of the Seller's Website, including but not limited to logos and other marks, pass to the Customer as a result of concluding the Agreement on the terms of this Offer.

6.4. If the Seller's goods, works or services include results of intellectual activity, the Customer is granted access to them solely for personal use, namely review and study.

6.4.1. The Customer may not use the results of intellectual activity included in the Seller's goods, works and services (in whole or in part) for commercial purposes aimed at profiting from their distribution (whether in original or modified form). The Customer may, however, use in its business the knowledge and information obtained from using the Seller's goods, works and services.

6.5. Clauses 6.4 and 6.4.1 of this Offer do not apply to software provided on a subscription basis, the use of which is governed by Section XII of this Offer, or to deliverables created specifically for the Customer (such as a brand identity, logo or landing page), the rights to which pass to the Customer upon full payment, unless otherwise agreed by the Parties.

VII. Liability of the Parties

7.1. In the event of non-performance or improper performance of their obligations under the Agreement, the Parties are liable in accordance with this Offer and the applicable legislation of the Russian Federation.

7.2. The Seller is not liable to the Customer if, for any reason, the Customer did not like the content, design, consumer value, etc. of goods, works or services of proper quality.

7.3. The Seller is not liable if the Customer, having paid the Fee and received the Resource Link, did not use access to the service within the access period provided, if such a period was set by the terms of purchase.

7.4. The Customer is liable for distributing by any means false information about the goods, works or services, or information damaging the Seller's business reputation.

7.5. If the Customer's unlawful actions result in claims and/or lawsuits against the Seller by third parties (including regulatory authorities), and such claims or lawsuits are upheld by an effective decision of a court (arbitral tribunal) or other competent authority (the "Decision"), the Customer shall reimburse the Seller in full for the amount of such claims stated in the Decision.

7.6. Penalties, fines and damages under this section are paid by the Party at fault within 5 (five) business days of receiving a written demand from the injured Party, by bank transfer to the account of the injured Party stated in that demand.

7.7. The Agreement concluded on the terms of this Offer is governed by and construed in accordance with the legislation of the Russian Federation. The Parties will make every effort to resolve any disputes and disagreements arising under or in connection with the Agreement through negotiation. The period for considering a claim is 30 (thirty) calendar days from the date of receipt.

If a dispute cannot be resolved amicably through negotiation, either Party may refer it to court in the manner established by the applicable legislation of the Russian Federation.

VIII. Force Majeure

8.1. Neither Party is liable for full or partial non-performance of its obligations under the Agreement concluded on the terms of this Offer if such non-performance results from force majeure circumstances that arose after the Agreement was concluded as a result of extraordinary events that neither Party could foresee or reasonably prevent. Such circumstances may include floods, fires, earthquakes and other natural disasters, military actions, acts of governments and local authorities, strikes, power supply failures disrupting the Parties' computer systems and causing data loss, and changes in legislation arising after the Agreement was concluded that make its performance impossible under the newly established procedure.

8.2. In the event of force majeure, the time for performance of obligations under the Agreement is extended in proportion to the time during which such circumstances and their consequences last.

8.3. The Party relying on such circumstances shall notify the other Party in writing within 3 (three) calendar days of their occurrence and expected duration. The existence and duration of force majeure is confirmed by a certificate or other supporting document issued by the competent authorities.

8.4. Failure to notify, or late notification of, force majeure deprives the affected Party of the right to rely on it in the future.

8.5. When such circumstances cease, the Party shall promptly notify the other Party in writing, stating the time within which it expects to perform its obligations under the Agreement.

8.6. If force majeure continues for more than 30 (thirty) consecutive calendar days, either Party may withdraw from the Agreement concluded on the terms of this Offer by notifying the other Party in writing 30 (thirty) calendar days before the intended date of termination.

The Parties recognize electronic documents as having the same legal force as paper documents signed by hand and bearing the Parties' seals (where required), provided that the electronic documents are sent from the email addresses specified by the Parties under this Offer to the email addresses specified by the Parties as their own under this Offer.

Such documents are deemed signed with a simple electronic signature.

9.2. All documents, notices, requests, claims and other communications from one Party may be sent to the other Party in the manner set out in clause 9.1 of this Offer. The Parties recognize the legal force of such documents and communications. Originals are sent at a Party's request by registered mail with acknowledgment of receipt or by courier.

9.3. The Parties agree not to give third parties access (login and password) to the email addresses used for exchanging electronic documents, and to take all necessary measures to keep such access confidential. In the event of loss of access, or unlawful access by third parties to a Party's email addresses, the affected Party shall immediately inform the other Party by email and/or phone.

The Party that has allowed a breach of the confidentiality of access to its email is responsible for electronic documents sent through those channels until it officially notifies the other Party of the breach.

9.4. A message is also deemed delivered if it reached the addressee but, for reasons within the addressee's control, was not handed to them or the addressee did not read it.

9.5. Each Party bears all risks associated with the operation of its own equipment and communication channels.

9.6. The Parties shall ensure that access to the email used for electronic document exchange is given only to persons authorized to sign documents.

9.7. The Parties shall promptly inform each other (by email and/or phone) of any technical faults or other circumstances preventing electronic document exchange under this section.

9.8. If potential security threats are detected, the Parties shall immediately notify each other so that coordinated measures can be taken to neutralize them.

Continuing to receive them constitutes full and unconditional acceptance of the amended Offer by the Customer.

11.2. The Customer undertakes to review the text of this Offer, and any additional terms or notices the Seller may publish on the Seller's Website, for amendments and corrections.

11.3. If one or more provisions of the Agreement are or become invalid due to changes in the applicable legislation of the Russian Federation, this does not suspend the remaining provisions. Invalid provisions are replaced by the Seller with legally permissible provisions closest in meaning to those replaced.

11.4. The Agreement concluded on the terms of this Offer is a one-time agreement concluded for a single transaction based on a single order, except for goods, works and services provided on a monthly basis (clause 5.10 of this Offer), in which case each paid period is a separate order and the Agreement remains in effect for as long as the Customer continues to pay for new periods.

11.5. Obligations under the Agreement are deemed terminated, and the Agreement automatically terminated, upon completion of the sale of the good, work or service purchased by the Customer.
